2Purpose
Carabela AI is an autonomous artificial intelligence system specialising in public procurement. Through the Site, Carabela AI provides information about its service, which covers the full cycle of a tender: finding opportunities, assessing fit and deciding whether to bid, studying the specifications, preparing the technical, administrative and financial documentation, reviewing the offer before submission and following up on the outcome. The Site also includes a conversational assistant, the Partner Program application form and the option to book a meeting with the team.
Use of the Site implies full and unreserved acceptance of this Legal Notice in the version published at the time of access.
3Conditions of use
Access to Carabela AI's public corporate website is free of charge, without prejudice to the cost of the connection through the telecommunications network contracted by the user. Certain functionalities, SaaS services, premium modules or private areas require prior registration, authentication or specific contracting of the corresponding service, and are additionally governed by their particular terms.
Where access requires credentials, the user is solely responsible for the custody, confidentiality and diligent use of their identifiers and passwords, as well as for all activity carried out through their account. The user must notify Carabela AI without undue delay of any unauthorised use or security breach of which they become aware.
The user undertakes to use the Site, its content and services in accordance with the law, this Legal Notice, good practice and public order. In particular, the user undertakes to refrain from:
- Using the Site for unlawful purposes or effects, harmful to third-party rights or interests, or that may damage, disable or overload the Site or prevent its normal use.
- Carrying out fraud, identity theft or social engineering activities.
- Carrying out massive scraping, automated extraction, scraping with bots or crawlers, or any unauthorised systematic collection of the Site's content or of the outputs generated by the platform.
- Attempting to access restricted areas, bypass authentication mechanisms, alter security measures, introduce viruses, malicious code or any other element that may compromise the integrity or availability of the Site or the platform.
- Sharing access credentials, reselling the service or allowing its use by persons or entities other than those authorised.
- Using the Site's content or any results, analyses, texts, data, embeddings or other outputs generated by the platform to train, fine-tune, evaluate or develop third-party artificial intelligence models, without the express, prior and written authorisation of Carabela AI.
- Performing reverse engineering, decompilation or disassembly of the protected elements of the Site or of the platform, except in cases expressly authorised by law.
Carabela AI may suspend, limit or terminate access, in whole or in part, in the event of abusive use, unauthorised automation, anomalous resource consumption, breaches of these conditions or any activity that compromises the security, stability or integrity of the platform or of other users, without giving rise to any right to compensation.
4Intellectual and industrial property
All Site content, including but not limited to texts, photographs, graphics, images, icons, technology, software, links, audiovisual content, sounds, as well as its graphic design and source code, is owned by Carabela AI or by third parties who have authorised its use, and constitutes a work protected by current intellectual and industrial property legislation.
Trademarks, trade names, logos and distinctive signs appearing on the Site are owned by Carabela AI or by third parties and are protected by applicable regulations.
The reproduction, distribution, public communication, transformation or any other form of total or partial exploitation of the Site's content without the express written authorisation of Carabela AI or, where applicable, the holder of the corresponding rights, is expressly prohibited, except in legally permitted cases.
5Liability
Carabela AI makes reasonable efforts to keep the Site operational and ensure that the published information is truthful and up to date. However, it does not guarantee the uninterrupted availability of the Site or the absence of errors in its content.
To the maximum extent permitted by applicable law, Carabela AI shall not be liable for:
- Interruptions, technical failures, viruses or any other incident beyond its control that prevents or hinders access to the Site.
- Damages arising from the use of, or inability to use, the Site or the information contained therein.
- Decisions taken by the user on the basis of the information published on the Site, which is in any case informative in nature and does not replace specialised professional advice.
The above is without prejudice to liabilities that are mandatory under applicable regulations, in particular in relation to consumers and users.
6AI-generated outputs
The Site includes a conversational assistant based on artificial intelligence. This is disclosed expressly, in accordance with Article 50 of Regulation (EU) 2024/1689 on Artificial Intelligence: anyone using it is interacting with an AI system and not with a person. The assistant answers only from the public information Carabela AI has made available to it, may make mistakes, and issues no binding statements, offers, quotes or legal advice. The analyses, summaries, searches, recommendations, drafts, memoranda, proposals and other content generated, in whole or in part, by artificial intelligence models through the Carabela AI platform are assistive and informative in nature. They constitute an aid to decision-making but do not replace the user's professional judgement nor any specialised legal, technical, financial or sector advice that may be required.
The user is responsible for reviewing, validating, cross-checking and, where appropriate, adjusting such outputs before using them professionally, incorporating them into tender files or submitting them to third parties, contracting authorities or any other body. Carabela AI shall not be liable for damages arising from the use of such outputs without the appropriate prior human review.
7Availability and maintenance
The Site and the platform may be temporarily affected or interrupted by maintenance, updates, improvements, incident resolution or deployment of new functionalities, as well as by causes beyond the reasonable control of Carabela AI. Where possible, Carabela AI will seek to minimise the impact and, where feasible, give advance notice of scheduled maintenance windows. These circumstances shall not, in themselves, give rise to any right to compensation in favour of the user.

The Site may contain links to third-party websites. Carabela AI assumes no responsibility for the content, services or information offered by such third parties, nor for the processing of personal data they may carry out. The inclusion of links does not imply any relationship, recommendation or endorsement by Carabela AI of the linked sites.
Carabela AI reserves the right to remove any link that may be unlawful, inappropriate or contrary to its interests, as well as to require the removal of links to its Site when it deems appropriate.
9Data protection and cookies
The processing of personal data collected through the Site is governed by our Privacy Policy. The use of cookies and similar technologies is governed by our Cookie Policy. Both documents form an integral part of this Legal Notice.
10Modifications
Carabela AI reserves the right to modify, at any time and without prior notice, the content of the Site and these legal terms in order to adapt them to regulatory, case-law or technical developments or to the evolution of the services offered.
11SaaS service contracting
Carabela AI's SaaS services, platforms, premium modules, private areas, APIs and any other functionalities requiring contracting, registration or authenticated access are governed by their separate particular conditions, terms of service, master agreements and, where applicable, data processing agreements (DPA), which will be made available to the customer and must be expressly accepted prior to use.
In the event of any discrepancy or conflict between this Legal Notice and such particular conditions or terms of service applicable to a contracted service, the latter shall prevail with respect to the matters specifically regulated therein. This Legal Notice shall continue to apply on a supplementary basis to anything not expressly provided for in those particular conditions.
12Applicable law and jurisdiction
This Legal Notice is governed by Spanish law. Any dispute arising from access to or use of the Site shall be submitted to the competent Spanish Courts and Tribunals in accordance with the applicable procedural rules.
Where the user qualifies as a consumer, the mandatory jurisdiction provided for in consumer protection regulations shall apply. Where the user acts within the scope of a business or professional activity, the parties submit, with express waiver of any other jurisdiction that may correspond to them, to the Courts and Tribunals of the city of Madrid (Spain).
